All Lawyers will be subject to feedback evaluations from Clients if, after Expressing Interest, we are notified that a Service Agreement is reached to carry out some or all of the Job advertised or similar or related work.

Lawyers understand that MyLegalAdviser is not responsible for the feedback content that those Clients post, or any harm done by such content. The Client who posts the feedback is directly responsible for its content, and the accuracy and legality thereof.

MyLegalAdviser may, at its sole discretion, also remove feedback at the request of the author.

We may, at our discretion, allow you to select some referees ("Referees") to submit feedback about you. The number of Referees you may select and the use of their feedback shall be at our sole discretion. Any Referees which you select must have been clients of you or Your Firm which you have provided legal services to, or independent intermediaries who you have worked with, within the 18 months prior to the date you nominate them to act as Referees.

Shortlist Fees

Lawyers agree to pay MyLegalAdviser a Shortlist Fee every time they are Shortlisted for a Job through our Service.

Lawyers will be Shortlisted where either: (1) they Express Interest in a Job and the Client shortlists them or (2) a Client Invites a Quote on a Job from a Lawyer and that Lawyer Expresses Interest in the Job.

Lawyers understand that MyLegalAdviser cannot and will not influence the outcome of any particular shortlisting and that we do not guarantee that Lawyers will be able to secure Service Agreements for Jobs they are shortlisted for.

Prepay, Prepayments & Prepay Balance

We may, at our discretion, allow Lawyers to make a Prepayment of Shortlist fees. Such a Prepayment will result in credit held on a Lawyer’s Prepay Balance. We may also credit Lawyer’s Prepay Balance at our discretion (for example on joining our Service).

Lawyers acknowledge that their Prepay Balance can only be used to pay for Shortlists that occur after the Prepayment or credit to their Prepay Balance. A Prepay Balance cannot be used to pay a previous invoice.

Each time a Lawyer incurs a Shortlist Fee, their Prepay Balance will be reduced by the value of the Shortlist Fee displayed on the Job page until their Prepay Balance reaches £0.

Lawyers agree and acknowledge that Prepay Balances are non-refundable and any refunds are paid solely at our discretion. If a Prepay Balance remains unchanged for 18 months, the Prepay Balance will be reduced to zero.

Payment method

In order to use our Service, Lawyers will be required at our discretion to provide at least one valid debit or credit card issued by a provider acceptable to us (each a "Payment Method").

Lawyers hereby authorise us to run debit or credit card authorisations on all debit or credit cards provided by them, to store debit and/or credit card and banking or other financial details as their method of payment, and to charge their debit or credit card (or any other Payment Method) in accordance with these Terms.

By providing Payment Method information through the Site, Lawyers represent, warrant, and covenant that: (a) they are legally authorised to provide such information; (b) they are legally authorised to perform payments using the Payment Method(s); and (c) such action does not violate the terms and conditions applicable to their use of such Payment Method(s) under any applicable law.

It is each Lawyer’s responsibility to ensure the accuracy of any Payment Methods they provide and to keep them up-to-date. MyLegalAdviser does not accept any responsibility for any loss, howsoever arising, from a Lawyer’s failure to ensure their Payment Methods are correct and kept up-to-date.

Payment of fees

Lawyers agree, when they Express Interest in a Job, that we may debit their Prepay Balance for that amount if/when they are Shortlisted for that Job.

Where a Lawyer’s Prepay Balance is insufficient to cover the Shortlist Fee, they authorise us to debit their Payment Method for the balance.

We will usually debit a Lawyer’s Payment Method on a weekly basis. We will provide Lawyers with an invoice each time a Prepayment is made or we debit their Payment Method.

Lawyers agree to receive all invoices by email to the email address they have given to us. It is their responsibility to ensure that this email address is working correctly.

Lawyers agree they are responsible for paying our invoices within the payment terms of the invoice. If their account has an invoice which is more than 7 days overdue and we are unable to debit any of their Payment Methods, their account will be automatically restricted.

Lawyers agree and acknowledge that they are not entitled to a refund of any Shortlist Fee under any circumstances and that any refunds paid are solely at our discretion.

Failed & Disputed Payments

If a Lawyer has a question about a charge on their credit or debit card, they agree to contact us using the details on our Contact Us page.

Should any Lawyer’s Payment Method fail or later be subject to a ‘charge back’ by the bank or card issuer, they agree to pay to us any amount outstanding, any costs reasonably incurred by us in rectifying the failed payment and a £10 + VAT administration fee.

You agree that MyLegalAdviser, at our sole discretion, has the right (but not the obligation) to deactivate your account, block your email address, or otherwise terminate or restrict your access to or use of the Website and/or Service, immediately and without notice, for any reason, including, but without limitation, if MyLegalAdviser believes that you have acted inconsistently with the letter or spirit of the Terms.

Further, you agree that MyLegalAdviser shall not be liable to you or any third-party for any termination or restriction of your access to the Website.

Further, you agree not to attempt to use the Website after said termination.

MyLegalAdviser reserves the right to change or update these Terms from time to time. As a User of the Website, you are responsible for acknowledging any updates of these Terms by visiting this section. Any significant changes in the Terms will be followed by a notification to all active Users.

You acknowledge that MyLegalAdviser may establish limits concerning use of the Website, including but not limited to the maximum number of days that content will be retained by the Website, the maximum number and size of postings, email messages, or other content that may be transmitted or stored by the Website, and the frequency with which you may access the Website.

You agree that MyLegalAdviser has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Website. You also acknowledge that MyLegalAdviser reserves the right at any time to modify or discontinue the Website (or any part thereof) with or without notice, and that MyLegalAdviser shall not be liable to you or to any third party for any modification, suspension or discontinuance of any Services.

You agree that we shall not be liable for any loss or damages arising from the provision (or non-provision) of any part of the Service, including loss of profit or consequential loss or damage.

You agree to indemnify us against any and all expenses, damages and losses of any kind (including reasonable legal fees and costs) incurred by us in connection with any actual or threatened claims of any kind (including without limitation any claim of trademark or copyright infringement, defamation, breach of confidentiality, false or misleading advertising or sales practices) arising from your use of the Service.

Clause headings are inserted for convenience only and shall not affect the interpretation of the Terms.

You may not assign, transfer or sub-contract any of your rights under the Terms without our prior written consent. We may assign, transfer or sub-contract all or any of our rights at any time without your consent.

If any provisions hereof are held to be illegal or unenforceable such provisions shall be severed and the remainder of these Terms shall remain in full force and effect unless the business purpose of these Terms is substantially frustrated thereby.

No waiver shall be effective unless in writing, and no waiver shall constitute a continuing waiver so as to prevent us or you from acting upon any continuing or subsequent breach or default.

The Terms constitute the entire agreement as to your use of and our provision of our Service and supersedes and extinguishes all previous communications, representations (other than fraudulent misrepresentations) and arrangements, whether written or oral. You acknowledge that you have placed no reliance on any representation made but not set out expressly in the Terms.

The Terms shall be subject to the laws of England and the parties shall submit to the exclusive jurisdiction of the English courts.
